Is anyone fluent in whatever this language is...?

"Resolution 2
Subject to the passing of resolution 1, that the form of articles of association attached to this notice of the general meeting as an Appendix be approved and adopted as the articles of association of The Grimsby Town Football Club Limited in substitution for and to the exclusion of the existing articles of association"

Is it basically saying if we change from a plc to a private company then Stockwood and Petit can take over?

This allows the sale of the shares "owned" by JF to be purchased to the consortium. As a PLC is more difficult to do that and there are potential problems so it is a means to facilitate the takeover.
